This 2027 Conclave AGS Suppliers’ Showcase and Reception Exhibitor Agreement (the “Exhibitor Agreement”) is contingent upon Exhibitor’s successful registration for the 2027 Conclave event and is therefore governed by the terms and conditions of that registration, and is by and between the American Gem Society (“AGS”) and you, the individual registering as an Exhibitor at the 2027 Conclave event (hereinafter, “Exhibitor” or “you”). If you are acknowledging and agreeing to this Exhibitor Agreement on behalf of another, it is your responsibility to ensure that the person attending Conclave is aware of and accepts the terms in this Exhibitor Agreement, and you warrant that you have made the other party aware of these terms and that they have accepted and agreed to these terms.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein and of other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, Exhibitor hereby agrees as follows:
Showcase and Reception Details
The 2027 AGS Suppliers’ Showcase and Reception will provide an opportunity to view exceptional jewelry from AGS vendor members who have been rigorously vetted by AGS to ensure they meet the highest standards of design and craftsmanship. One (1) complimentary Conclave attendee full registration is included in the AGS Suppliers’ Showcase and Reception registration fee. Following submission of this Exhibitor Agreement and payment of the Exhibitor fee, Exhibitor will receive a confirmation email with the steps to complete the Conclave attendee registration. Note for Gold and Diamond Level pricing: Any level changes prior to the Conclave 2027 event will result in an adjusted invoice. Balances will be due within ten (10) calendar days of invoice date.
License Grant
Exhibitor hereby grants to AGS, its, affiliates, successors, and assigns a non-exclusive, transferable, irrevocable, unrestricted, royalty-free, worldwide license in perpetuity (“License”) to use, re-use, modify, edit, alter, copy, publish, re-publish, and distribute any and all content from the Conclave event or content provided for the Conclave event including without limitation images, video and audio recordings, performances, property, presentations, and material provided by Exhibitor or of Exhibitor, the name, voice or likeness, including derivative works of each of the foregoing, in any and all media now known or later invented including but not limited to print, web, video, audio, internet, marketing material, or social media (collectively, the “Material”), for any purpose that AGS deems appropriate in AGS’s sole discretion including internal or external use, advertising, marketing, and promotional content.
Release of Liability
Exhibitor hereby releases, discharges, and holds AGS and affiliates harmless from all past, present, and future rights, claims, liabilities, petitions, and causes of action which Exhibitor, heirs, representatives, or any other persons may make in connection with the Material now or in the future including without limitation claims based on rights of publicity or privacy, defamation, intellectual property rights, or claims for compensation.
AGS Limited License
AGS grants Exhibitor a limited license to use any of the artwork on the AGS Event website for the purpose of promoting the Event and linking Exhibitor’s promotional materials to the Event website. AGS reserves the right to approve all Conclave promotional material created by Exhibitor. Exhibitor grants AGS a limited license to use Exhibitor’s logo on the AGS Event website, in Event promotional materials, and at the Event. Exhibitor may not use AGS trademarks, trade names, service marks, or logos without the prior written consent of AGS.
Confidential Agreement
Exhibitor and its respective employees and agents will not disclose the terms and conditions of this Exhibitor Agreement to any third party unless required to do so by a court of competent jurisdiction and only after prior written notice to AGS.
Effective Date, Term, Payment, and Termination
This Exhibitor Agreement is effective as of the date it is submitted and full payment of Exhibitor fee is made via the Event site, unless otherwise agreed to by AGS (“Effective Date“). If AGS agrees to an alternate payment method or timeline and the Exhibitor fee is not received accordingly, this Exhibitor Agreement shall automatically terminate, and participation will no longer be available to Exhibitor. This Exhibitor Agreement shall remain effective until the Event ends on May 3, 2027, or until terminated by Exhibitor or AGS. Exhibitor may terminate this Exhibitor Agreement at any time by notifying AGS in writing or by email at [email protected]. Upon termination by Exhibitor, Exhibitor will be refunded pursuant to the Refund and Cancelation Policy herein, and AGS’s duties under this Exhibitor Agreement shall immediately cease. AGS may terminate this Exhibitor Agreement by notifying Exhibitor in writing or by email. Upon termination by AGS, Exhibitor will be refunded pursuant to the Refund and Cancelation Policy.
Refund and Cancelation Policy
All cancelation notices must be in writing and sent by email to [email protected]. Cancelation requests made any other way, such as by phone or verbally, will not be accepted, and your refund is based on the date your written notice is received:
If the event is canceled by AGS, you will receive a full refund to the original form of payment as applicable. Please note it may take up to ten (10) business days for such a refund to be processed. If you have any questions, please email [email protected].
Exhibitor Content/Materials
Exhibitor acknowledges that AGS, at its sole discretion, reserves the right to remove, relocate, or restrict any content or materials displayed or distributed at the Event.
Gratuitous Bailment
In consideration of AGS acting as a gratuitous bailee and allowing Exhibitor to leave merchandise in the custody of AGS, you agree, individually and on behalf of the owner of the merchandise, as the owner’s agent, to relieve AGS of any and all liability or responsibility for the loss, damage or destruction of this merchandise. Exhibitor further agrees to indemnify, defend and hold harmless AGS from any and all claims which may be had against AGS arising out of AGS’s agreement to act as a gratuitous bailee.
Showcase Area
Showcase Area is defined as the Event hotel’s meeting/function areas dedicated for Exhibitor showcases and attendee interaction.
AGS reserves the right to cancel and refund Exhibitor’s payment due to unforeseen circumstances that may arise from changes in federal, state, local, or venue rules or regulations that reduce, restrict, or limit the amount of showcase space per Exhibitor originally contemplated. AGS shall assess the impact of such changes and notify affected Exhibitors as soon as reasonably possible. Exhibitor priority shall be determined based on the Exhibitor’s membership level.
Assumption of Risks: By submitting this Exhibitor Agreement, Exhibitor expressly assumes all risks associated with, resulting from, or arising in connection with Exhibitor’s participation or presence at the Event, including, without limitation, all risks of theft, loss, harm, damage, or injury to the person (including death), property, business or profits of Exhibitor, whether caused by negligence, intentional act, accident, act of God or otherwise. Exhibitor has sole responsibility for its property or any theft, damage or other loss to such property, including any subrogation claims by its insurer. Neither AGS nor the Event hotel accepts responsibility, nor is a bailment created, for property delivered by or to Exhibitor. Neither AGS nor the Event hotel shall be liable for, and Exhibitor hereby releases all of them from, and covenants not to sue any of them with respect to, any and all risks, losses, damages, and liabilities described in this paragraph.
Limitation of Liability: Under no circumstances shall AGS or the Event hotel be liable for any lost profits or any incidental, special, indirect, punitive or consequential damages whatsoever for any of their acts or omissions, whether or not apprised of the possibility of any such lost profits or damages. In no event shall AGS’s maximum liability under any circumstance exceed the amount actually paid to AGS by Exhibitor pursuant to this Exhibitor Agreement.
Exhibitor Logo & Exhibitor Listing
To enable AGS to promote Exhibitor, Exhibitor must provide certain program information, including a high-resolution version of its logo. The logo must be 300 dpi with a transparent background. Accepted file types are EPS, PNG, or PDF. Upon completion of an executed Exhibitor Agreement, AGS will provide Exhibitor with instructions to submit the program information and logo.
