Summary of Changes to AGS Bylaws

The following sections are where the proposed changes to the Bylaws have taken place. You may also view the full version of the amended Bylaws by clicking here. At the bottom of this section is a button that allows you to vote on these changes.

 

Article, Section, and Title: Article II - Object
Rationale: Added mission focused language.

Article, Section, and Title: Article III - Membership, Section 2
Rationale: Changed Vintage to Legacy for branding purposes.

Article, Section, and Title: Article III - Membership, Section 6
Rationale: Legal

Article, Section, and Title: Article III - Membership, Section 9
Rationale: Legal

Article, Section, and Title: Article V - International Board of Directors, Section 3
Rationale: The Lab Advisory Director becomes a voting position on the Board due to the importance of the Lab.

Article, Section, and Title: Article VII - Standing Committees, Section 5
Rationale: Added Young Titleholders (YT) as a standing committee. The Chair will serve on the Board for their term as Chair of the YT Committee. Marketing will no longer be a standing committee and will instead be an ad hoc task force as needed.

Article, Section, and Title: Article VII - Standing Committees, Section 5
Rationale: The Chair of Grievance and Review (G&R) does a lot of work on behalf of the Society, so it is a role unto itself. The Chair of the Membership Committee could also serve on the G&R committee, but it would not have to be.

Article, Section, and Title: Article VIII - Nominating Committee, Section 2
Rationale: To be in line with best practices, the Nominating Committee should expand to include a non-Board member in good standing, and one non-voting member, the CEO, to be part of the nomination process.

Article, Section, and Title: Article XII - International Guild Council and Regional Guilds, Section 2
Rationale: Added language around current Guild structure and activities.

Article, Section, and Title: Article XVI - Indemnification
Rationale: To be in line with the best practices, an indemnification clause is designed to protect those designated in the language.

The American Gem Society (AGS) is a nonprofit trade association of fine jewelry professionals dedicated to setting, maintaining and promoting the highest standards of ethical conduct and professional behavior through education, accreditation, recertification of its membership, gemological standards, and gemological research.

The Society is committed to providing educational products to inform and protect the consumer and to contributing to the betterment of the trade by creating industry standards to protect the jewelry-buying public and the fine jewelry industry as a whole.

AGS Laboratories, founded to support the AGS mission, is a nonprofit diamond grading laboratory with a mission of consumer protection. Adhering to the AGS Diamond Grading Standards, AGS Laboratories is dedicated to offering diamond grading reports that provide consistency and accuracy based on science.
